STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions govern the sale of products and services by Opendot Solutions Ltd. By placing an order with Opendot Solutions Ltd, the client agrees to these Terms and Conditions. .

  1. General Provisions
    1. The client explicitly waives its own terms and conditions, even if these are submitted after Opendot Solutions Ltd's Terms and Conditions of Sale. Any derogations must be expressly agreed to in writing by Opendot Solutions Ltd to be valid.
  2.  Payment Terms 
    1. All invoices are payable within 21 working days unless another payment timeframe is specified on the invoice or order. In the event of non-payment by the due date, Opendot Solutions Ltd reserves the right to apply a fixed interest charge of 10% on the outstanding balance. Opendot Solutions Ltd may also suspend the provision of services or delivery of products without prior notice in case of late payment. 
    2. If payment remains outstanding more than sixty (60) days after the due date, Opendot Solutions Ltd reserves the right to engage a debt recovery agency, and the client will be liable for all associated legal and recovery costs. 
  3. Withholding Taxes 
    1. Some countries impose withholding taxes on invoiced amounts. Any such withholding tax is the responsibility of the client, who must remit the tax to the relevant authorities. Opendot Solutions Ltd will not bear any costs related to a client’s local tax laws. The client must pay the full invoice amount to Opendot Solutions Ltd, exclusive of any withholding taxes or related fees. 
  4. Product and Service Delivery 
    1. Opendot Solutions Ltd commits to providing high-quality products and services within the agreed timeframes. However, these commitments are based on best efforts and do not constitute guarantees of specific outcomes. Opendot Solutions Ltd will not be held liable for any claims for damages or losses filed by the client’s customers related to the products or services supplied. 
  5. Claims and Disputes 
    1. Any claims related to the products or services provided by Opendot Solutions Ltd must be submitted in writing via recorded delivery to the registered office of Opendot Solutions Ltd within 8 days of receiving the goods or services. Claims submitted after this period will not be considered. 
  6. Governing Law 
    1. All contracts and agreements between Opendot Solutions Ltd and the client will be governed exclusively by the laws of Ghana. Any disputes arising will be subject to the jurisdiction of the courts of Ghana.
